1. Acceptance of Terms

By accessing our website (leoradigitalamigos.com) or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree, please discontinue use of our website and services immediately. These terms apply to all clients, visitors, and individuals interacting with Leora Digital Amigos Pvt. Ltd.

2. Services

Leora Digital Amigos Pvt. Ltd. provides digital marketing, branding, web design, content, and creative services as detailed in individual client proposals and service agreements. Specific deliverables, timelines, and pricing are defined in the Statement of Work (SOW) or Service Agreement signed with each client.

3. Client Responsibilities

• Provide accurate, timely, and complete information required for service delivery.
• Ensure all content, logos, images, and materials provided to us are legally owned or properly licensed.
• Designate a single point of contact for project communication and approvals.
• Provide feedback and approvals within the agreed timeframes to avoid project delays.
• Ensure timely payment as per agreed payment schedule.

4. Intellectual Property

4.1 Client-Provided Materials

You retain ownership of all materials, content, logos, and data you provide to us. You grant us a limited licence to use these materials solely for delivering the agreed services.

4.2 Deliverables

Upon receipt of full payment, all deliverables (designs, website code, content) created specifically for your project are transferred to you. We retain the right to showcase completed work in our portfolio unless you request otherwise in writing.

4.3 Tools & Frameworks

We retain ownership of proprietary tools, methodologies, templates, and frameworks used in service delivery. These are licensed for your use but not transferred.

5. Payment Terms

• Payment terms are specified in individual service agreements (typically 50% advance, 50% on delivery).
• Monthly retainer services are billed at the beginning of each month.
• Overdue invoices are subject to 1.5% monthly interest.
• We reserve the right to pause services for accounts overdue by more than 15 days.
• All prices are exclusive of GST unless otherwise stated.

6. Confidentiality

Both parties agree to maintain confidentiality of all proprietary business information, strategies, client data, and campaign details shared during the engagement. This obligation survives termination of the service agreement.

7. Results & Performance

While we commit to applying our best expertise and proven methodologies, we cannot guarantee specific results in SEO rankings, advertising performance, social media growth, or other marketing metrics. Digital marketing results depend on multiple factors including market conditions, competition, algorithm changes, and client website quality.

8. Limitation of Liability

To the maximum extent permitted by law, Leora Digital Amigos Pvt. Ltd.'s total liability for any claim arising from our services shall not exceed the total fees paid by the client in the three months preceding the claim. We are not liable for indirect, consequential, special, or incidental damages including lost profits or business opportunities.

9. Termination

• By Client: 30 days written notice required for monthly retainer services. Project-based services may not be cancelled once commenced without forfeiting advance payments.
• By Us: We may terminate services with 15 days notice for non-payment, breach of terms, or if continued engagement poses reputational or legal risk.

10. Prohibited Use

You may not use our services to promote illegal activities, misleading advertising, spam, adult content, content that infringes third-party intellectual property, or anything that violates Indian law or platform policies (Google, Meta, etc.).

11. Dispute Resolution

Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Guntur, Andhra Pradesh under the Arbitration and Conciliation Act, 1996.

12. Governing Law

These Terms are governed by the laws of India. The courts of Guntur, Andhra Pradesh shall have exclusive jurisdiction over any disputes not resolved through arbitration.

13. Amendments

We reserve the right to modify these Terms at any time. Updated terms will be posted on our website. Continued use of our services after changes constitutes acceptance.
